You can start off by creating an empty directory in your osu! skins folder.
Using this wiki page to get a list of skinnable elements, you can slowly replace each element with a different image/sound file.
I'd recommend using this thread as a in-depth guide to skinning.
You may also try observing the files of other people's skins, and see how the structure works.
